Ultralife Soars 140% as EnerSys Bids $16 a Share

Ultralife (ULBI) jumped about 145% premarket after EnerSys (ENS) agreed to buy the defense battery maker for $16 a share in cash, a $320 million deal.

  • EnerSys will pay $16.00 per share in cash, a 166% premium to Ultralife's October 26 close.
  • The deal carries an enterprise value of about $320 million and is funded from cash on hand.
  • EnerSys targets $15 million to $20 million of annual cost synergies within 18 months.

Lead

Ultralife Corporation (NASDAQ: ULBI) shares surged roughly 144% to 145% in premarket trading on Wednesday, October 28, 2026. The jump followed the announcement that EnerSys (NYSE: ENS) had signed a definitive agreement to acquire the company for $16.00 per share in cash. The price is a 166% premium to Ultralife's unaffected close on October 26, implying a prior close of about $6. EnerSys shares rose about 2.3% in early trading.

What Did EnerSys Agree to Buy?

EnerSys agreed to buy all outstanding shares of Ultralife, a Newark, New York-based maker of rechargeable and non-rechargeable batteries, battery systems and communications equipment. Ultralife generated $191 million in revenue in fiscal 2025 and employs more than 700 people across the United States, Canada, the United Kingdom and China. It reports in two segments, Battery & Energy Products and Communications Systems.

Both boards approved the transaction unanimously. EnerSys will fund it with cash on hand, and the agreement has no financing condition.

Why Is EnerSys Paying a 166% Premium?

EnerSys is paying for defense exposure and domestic manufacturing capacity. The deal widens its footprint in drones, counter-unmanned systems, munitions and soldier-worn power, segments where military demand for portable energy is rising.

Ultralife also brings facilities compliant with Foreign Entity of Concern standards. That matters as defense customers tighten supply-chain rules on battery content. The purpose-built plants also give EnerSys room to scale its liquid reserve battery technology, and the combination adds multi-chemistry capability.

EnerSys expects $15 million to $20 million of annual run-rate cost synergies within the first 18 months. It also expects the deal to add to adjusted diluted earnings per share over roughly the same period, excluding transaction and integration costs. Measured against Ultralife's $191 million of revenue, the synergy target is equal to about 8% to 10% of sales.

How Will the Tender Offer Work?

EnerSys will launch a tender offer within 10 business days, inviting Ultralife holders to sell their shares directly at $16.00. The offer is conditioned on a majority of outstanding shares being tendered and on customary regulatory clearances. Both companies expect the transaction to close in the first quarter of 2027.

Market Reaction

Ultralife's premarket price sits just below the $16 offer, a gap that typically reflects the time to closing and the small chance of regulatory or tender delays. The move erased a long period of weak trading for a small-cap stock that was priced near $6 before the announcement.

The market response at EnerSys was positive but modest. The 2.3% gain suggests investors view the price as manageable for a company of its size and see strategic value in defense growth.

Strategic Context

The transaction extends a pattern of industrial and energy-storage groups buying into defense supply chains. Military procurement of small, high-energy-density batteries has grown with drone warfare and electronic-systems demand. Domestically produced, FEOC-compliant cells are increasingly a qualification requirement, which raises the value of established U.S. production sites.

Outlook

The deal gives EnerSys a larger defense platform and gives Ultralife holders a cash exit at a steep premium. The near-term milestones are the tender offer launch within two weeks, regulatory clearances, and a first-quarter 2027 close. Ultralife's shares are likely to trade close to the offer price until the tender completes.
