EQT to Buy Range Resources in $50B-Plus Gas Deal

EQT (EQT) agreed to buy Range Resources (RRC) in an all-stock deal worth more than $50 billion with debt, creating the largest vertically integrated US natural gas producer.

  • Each Range share converts to 0.987 EQT shares, an implied $54.91 and a 20.6% premium to Friday's close.
  • The combined company would produce over 9 billion cubic feet equivalent a day, with $325 million in annual synergies targeted within two years.
  • Range shares rose about 15% on the news while EQT fell roughly 4%. Closing is expected in the first quarter of 2027.

EQT Corp. agreed on Monday, October 26, 2026, to acquire Range Resources Corp. in an all-stock transaction that values Range's equity at about $12.8 billion. The pro forma enterprise value of the combined company exceeds $50 billion including debt. Range shareholders will receive 0.987 EQT shares for each Range share, an implied $54.91 per share. EQT shareholders will own about 73% of the combined company and Range holders about 27%. The deal unites two of the largest producers in the Appalachian Basin. It creates what the companies describe as America's only vertically integrated natural gas producer at this scale.

What Are the Terms of the EQT-Range Deal?

The agreement is an all-stock exchange with no cash component. The 0.987 exchange ratio implies a premium of about 20.6% to Range's last closing price. Both boards have approved the transaction. It still needs approval from each company's shareholders and from regulators, and closing is targeted for the first quarter of 2027.

EQT chief executive Toby Rice will lead the combined company, which stays headquartered in Canonsburg, Pennsylvania. Two Range representatives, including Range chief executive Dennis Degner, will join the EQT board at closing. EQT said it expects investment-grade BBB credit metrics once the deal completes.

Citi and RBC Capital Markets advised EQT, with Kirkland & Ellis as legal counsel. Evercore and J.P. Morgan advised Range, with Gibson, Dunn & Crutcher as legal counsel.

What Does the Combined Company Look Like?

The merged group would produce more than 9 billion cubic feet of natural gas equivalent a day. It would control nearly 3 million net acres in the Appalachian Basin, hold more than 30 years of drilling inventory and own about 3,700 miles of midstream infrastructure. Owning pipelines alongside wells is the basis for the "vertically integrated" label. It gives the producer more control over gathering and transport costs and over getting gas to market.

The companies project base annual synergies of $325 million within two years, with a path to more than $600 million over the longer term. They also say the larger scale lowers the unlevered free cash flow breakeven to below $2 per million British thermal units. Cumulative free cash flow is projected at roughly $20 billion over five years at recent futures-strip prices.

How Did Shares and Gas Prices React?

Range shares rose about 15% to around $52, while EQT shares fell between 3% and 4% to near $53. That is the usual pattern for a stock-funded acquisition: the target trades toward the offer, and the acquirer absorbs dilution and integration risk.

The deal landed on a soft day for the commodity. Front-month Henry Hub natural gas futures fell almost 4% on Monday to close near $2.54 per million Btu. Early in the session the contract touched about $2.51, the lowest level since October 2024, as forecasts pointed to warmer-than-normal weather across most of the northern United States. The combination's lower breakeven is aimed at that kind of price environment.

Why Is Consolidation Happening Now?

The transaction rests on a bet that US gas demand will keep growing. The US Energy Information Administration expects dry gas production to rise from 107.6 billion cubic feet a day in 2025 to 111.7 billion in 2026 and 115.9 billion in 2027. LNG exports are forecast to reach a record 17.4 billion cubic feet a day in 2026. Roughly half of the 378 gigawatts of gas-fired power capacity under development in the United States is tied to data centers, which adds a second demand channel as artificial intelligence workloads expand.

Supply-side discipline has not been matched by deal activity. Gas reserves at the 30 largest US producers rose 14% even as spending on mergers and acquisitions fell about 70%. In that context, a large all-stock deal lets two neighboring operators share drilling inventory and infrastructure without taking on new acquisition debt.

Strategic Context

Both companies operate in Appalachia, where pipeline takeaway capacity has historically limited growth. Combining acreage allows longer horizontal wells, shared facilities and more flexible routing of volumes. Owning midstream assets also reduces exposure to third-party fees. Scale should also help EQT negotiate with LNG buyers and power utilities, the two customer groups driving long-term demand.

What Comes Next for the Deal?

Both shareholder votes and regulatory review come first, and the first quarter of 2027 is the stated closing window. Antitrust scrutiny will focus on Appalachian production and gathering assets, though the combined group would still hold a minority share of national output. Integration milestones will center on the $325 million synergy target and on how quickly the combined company can lower its breakeven cost. Natural gas prices near two-year lows will test the thesis in the meantime.

Outlook

The EQT-Range agreement is the largest US natural gas combination in recent years. It rests on rising LNG and data center demand and on the cost advantages of integrated scale. Shareholder approvals, regulatory clearance and the direction of Henry Hub prices will determine how quickly the projected savings and free cash flow materialize.
