Why is Wendy's stock up today?

What happened

Wendy's (WEN) stock rose about 1% to $7.75 on Thursday after its board rejected a $1.4B, $7.35-a-share takeover offer from a Trian-led group and adopted a poison pill. A poison pill is a defense that makes it costly for any investor to build a stake of 15% or more without board approval. Trian Fund Management, run by Nelson Peltz, and its partners already own 16.3% of Wendy's. The board said the offer, made October 28 at roughly a 20% premium at the time, "substantially undervalues" the company, and the group refused to sign an agreement limiting its stake (a standstill).

Why it matters

Wendy's (WEN) is a struggling burger chain whose shares have lost about 60% of their value over three years. Saying no means shareholders will not get the $7.35 in cash for now, even though the stock is trading above that price. Sales at existing restaurants have fallen for seven straight quarters, so the board is relying on a turnaround plan under new CEO Bob Wright to be worth more than the bid.
