What happened

Oracle (ORCL) stock fell 5.5% on Monday to near $123.50 after it filed to sell $10B of new shares and $10B of bonds, raising dilution and AI debt worries. The new shares dilute current owners, making each existing share a slightly smaller slice of the company. The bonds, which are loans from investors, come in six parts due between 2029 and 2046. Oracle says the money is for general business needs, including building AI data centers. Days earlier, it promised to raise no more than $20B of extra funding through fiscal 2030, so this raise uses up that whole limit.

Why it matters

Oracle's move shows how costly the AI data-center race has become, even for a very large company. It already owes about $125B, and its credit rating from S&P sits at BBB-, just one step above "junk". Selling shares and bonds together raises two worries at once: smaller slices for owners and more debt to repay. Oracle's shares are down 33% this year.
