What happened
Marvell (MRVL) stock fell 5.5% to $185.66 in Monday trading after agreeing to buy Lumentum in a $115B all-stock acquisition, as investors questioned the price and the new shares it must issue. Lumentum (LITE) owners will get 4.5 Marvell shares for each share they hold, worth about $1,132 each at Marvell's October 28 price, a 23.9% premium. Lumentum itself dropped about 10% to $760.10, well below that value. Marvell had already lost 14% the week before, after talks leaked. The deal is expected to close in the first half of 2028.
Why it matters
Marvell is paying about $115B for Lumentum because AI data centers increasingly move data with light (optical links) instead of copper wires, and Lumentum makes key parts for that. Because Marvell pays with its own shares instead of cash, a falling Marvell stock lowers what Lumentum owners actually receive. Regulators must also approve the deal, and closing is not expected until 2028.
