What happened
Meta (META) stock fell about 1.8% to $631 in early Monday trading after the company launched up to $95 billion of stock sales to pay for AI data centers. First comes about $35 billion: $22.5 billion of regular shares and $12.5 billion of preferred shares that turn into regular stock in 2029. Up to $60 billion more would be sold gradually from early 2027 as new non-voting Class C shares. Nvidia, AMD and Broadcom showed interest in buying up to $5 billion. Meta expects to spend $135 billion to $145 billion on AI and other projects this year.
Why it matters
Meta is turning to investors for cash because its AI spending is now bigger than the money its business brings in. Last quarter it spent $34.9 billion on capital projects like data centers (capex) but made only $32.8 billion from operations, so free cash flow, the cash left over, was negative $2.1 billion. New shares mean each existing share owns a slightly smaller slice of Meta (dilution). The raise equals about 5.8% of Meta's roughly $1.63 trillion value.
