Synopsys (NASDAQ: SNPS) shares jumped about 12% on Thursday, October 1, after the chip-design software maker issued a fiscal 2027 forecast well above Wall Street estimates. It also announced multiyear agreements with Amazon Web Services (AMZN) and OpenAI. The company expects fiscal 2027 revenue of $11.1 billion to $11.2 billion, against an average estimate of $10.81 billion. It guided non-GAAP earnings per share to $19.04-$19.12, compared with a consensus of $17.81. Synopsys also plans to repurchase about $1 billion of its shares.

What Did Synopsys Announce?

Synopsys announced three linked items: a chip-IP agreement with AWS, an AI model partnership with OpenAI, and its first guidance for fiscal 2027.

The AWS agreement is valued at more than $1 billion over several years. It gives Amazon access to application-optimized Synopsys design IP, the pre-built circuit blocks that chipmakers license rather than design from scratch. Amazon will use the IP as it develops in-house processors such as Trainium, its AI accelerator, and Graviton, its server CPU. The companies also plan closer collaboration on AI-driven engineering workflows.

The OpenAI partnership centers on GPT-Synopsys, a model built to assist engineers with chip design and trained to operate Synopsys software. OpenAI will pay a training subscription fee while the model learns the tools. Once customers use the product, the two companies will share revenue based on how much the model improves a chip's design.

Why Did Synopsys Shares Jump?

Shares rose because the guidance implied faster growth than investors had modeled, and the two partnerships gave that growth a clearer source.

The fiscal 2027 revenue range sits roughly 3% above consensus at the midpoint. The earnings forecast is about 7% above. That gap points to margin expansion as well as higher sales. The outlook follows a third quarter in which revenue reached $2.477 billion, up 42% from a year earlier. The company said that quarter was led by electronic design automation, or EDA, with design IP returning to year-over-year growth and a strong contribution from Ansys. Synopsys had also raised its fiscal 2026 revenue guidance to about $9.715 billion at the midpoint.

The share buyback adds a capital-return element. At $1 billion it is modest relative to the company's market value, but it signals confidence in cash generation after the Ansys acquisition.

How Does the OpenAI Deal Change Synopsys' Business Model?

The OpenAI deal moves part of Synopsys' revenue from fixed licenses toward outcome-based pricing. Under the arrangement, OpenAI pays to train the model, and Synopsys then earns a share of the value the model creates for chip designers.

Chip design is one of the most specialized engineering fields. Complex processors take years and large teams to produce, and the supply of experienced engineers is limited. A model that can run EDA tools, check layouts and propose design changes could shorten schedules and reduce staffing pressure at customers. Synopsys supplies the software environment those models need to work in, which gives it a position in AI-assisted design alongside the model developers.

The structure also carries risk. Revenue tied to design improvements is harder to forecast than subscription fees. The terms depend on how customers adopt the product, which has not yet been tested at scale.

Strategic Context: Hyperscalers as Chip Designers

The AWS agreement reflects the shift of large cloud providers into custom silicon. Amazon designs Trainium and Graviton to lower costs and reduce dependence on merchant chip suppliers. Each new generation requires licensed IP, verification tools and design software. Synopsys sells all three.

For Synopsys, hyperscaler demand offsets weakness in other parts of the market. The company's design IP business had lagged, and its return to growth in the third quarter was one of the more closely watched figures in that report. A $1 billion-plus commitment from one customer adds visibility to that segment.
