Marvell Technology Stock Falls on $83B Lumentum Deal Talks

Marvell Technology is in advanced talks to buy Lumentum at about $83 billion, a deal that could be announced next week and reshape AI data-center optics.

  • Marvell (MRVL) is in advanced talks to acquire Lumentum (LITE), valued at about $83 billion; an announcement could come next week.
  • Lumentum shares rose about 11% in extended trading; Marvell fell more than 8%.
  • The deal would join Marvell's signal processors with Lumentum's lasers as AI clusters move from copper to optical links.

Lead

Marvell Technology is in advanced talks to acquire Lumentum Holdings, a maker of lasers and optical components for AI data centers, in a transaction that would value the target at about $83 billion. The talks were reported Wednesday, October 28, 2026, after the close of regular trading. A deal could be announced as soon as next week. No final agreement has been reached, and terms, including timing, could still change.

What Happened in the Marvell-Lumentum Talks?

Marvell is negotiating to buy Lumentum, with a possible announcement within days. Lumentum's market value stands at about $83 billion, against Marvell's market capitalization of roughly $221 billion. Pricing, the form of payment and a closing timetable have not been disclosed. The talks remain private.

The two companies already trade with each other. Marvell buys lasers from Lumentum, so an acquisition would bring a key supplier in-house. It would also extend a run of Marvell deals that includes the December 2025 purchase of Celestial AI for $3.25 billion, or up to $5.5 billion including milestone payments.

Why Did Marvell and Lumentum Shares Move in Opposite Directions?

Lumentum rose and Marvell fell because investors treated the deal as a large, expensive purchase for the buyer and a premium-bearing exit for the seller. Lumentum climbed about 11% in extended trading, and Marvell dropped more than 8%.

Both stocks had rallied hard before the report. Lumentum was up about 148% year to date and Marvell about 196%. Buyers of high-priced stock in a deal of this size often face questions about integration, dilution and whether the price leaves room for error. The Marvell Technology stock decline reflects those concerns.

Strategic Context: Why Does Optics Matter for AI Stocks?

Optics matter because data moving between processors has become a limiting factor in AI clusters. As operators link tens of thousands of GPUs, they are replacing copper connections with optical ones. Lumentum supplies the lasers, photonic integrated circuits and high-speed transceivers that carry those signals. Marvell designs the digital signal processors that drive them.

Combining the two would give Marvell control over both ends of the link. That is a distinct position among AI stocks, where most attention goes to accelerators rather than the connections between them.

Lumentum's operating momentum is strong. In its fiscal third quarter, revenue rose 90.1% from a year earlier to $808.4 million, with a non-GAAP operating margin of 32.2%. The company guided fiscal fourth-quarter revenue to a range of $960 million to $1.01 billion. Its chief executive has said the company is essentially sold out of certain products into 2029.

What Are the Obstacles?

The main complication is Nvidia (NVDA). It has been a $2 billion Lumentum shareholder since March and is also a major customer. A sale to a company that builds custom AI silicon would put an investor and customer in a different relationship with its optical supplier. Other customers that compete with Marvell could also reassess their supply arrangements.

A transaction of this size would also draw antitrust and national-security review across several jurisdictions, particularly given the importance of optical components to AI infrastructure. Review timelines for semiconductor deals have been long in recent years.

Outlook

An announcement could come as early as next week, though talks can still stall or change shape. If completed, the deal would rank among the largest technology acquisitions on record and would test whether investors reward vertical integration in AI networking. Near term, attention will turn to the price and payment mix, Nvidia's response, and the regulatory path.
