What happened

MGM Resorts (MGM) stock fell 9.8% on Thursday after Barry Diller's People Inc. scrapped its $8 billion go-private offer, saying it could not assemble the outside equity co-investors needed to close the deal. People Inc. — which owns about 27% of MGM — had proposed buying the remaining shares at $8.30 each when it launched its bid in June 2026. Four months of talks with MGM's special board committee ended with Diller saying he did not feel the mix was coming together in the way he had hoped. MGM closed at $4.13, erasing most of the deal premium that had been built into the stock since June.

Why it matters

MGM Resorts had a takeover premium baked into its share price since June, so when the deal died that premium vanished all at once. The collapse also shows how hard it has become to fund large casino buyouts: outside investors were unwilling to co-finance a take-private of an operator dealing with falling Las Vegas Strip revenues and softer hotel rates. Diller said People remains open to a future strategic deal with MGM, so some uncertainty about the company's ownership still lingers.
