What happened
Copart (CPRT) stock surged 9% after hours on Thursday after the vehicle-auction company agreed to buy digital wholesale marketplace ACV Auctions for $1.9 billion, a 45% premium. The $20.50-per-share cash offer is measured against ACV's August 10 closing price of $14.26, the last trading day before deal rumours first surfaced. Copart will fund the purchase from existing cash and ACV will continue as a stand-alone subsidiary under its own management team. At the same time, Copart reported Q4 revenue of $1.15 billion, up 2.4% from a year ago, but its $0.35 earnings per share fell three cents short of analysts' $0.38 target as quarterly profit dropped 17%.
Why it matters
Copart is one of the world's largest vehicle auction companies, but its revenue has been essentially flat for two years as its salvage-car business matures. The ACV deal hands Copart a digital network reaching roughly 20 million dealer-traded vehicles a year — four times the size of Copart's existing salvage market — opening a new growth engine without building from scratch. For everyday investors, a larger Copart means more influence over how used-car prices are set across the full supply chain, from insurance write-offs to dealer trade-ins.
