What happened
SpaceX (SPCX) stock jumped 9% to above $160 on Wednesday after Elon Musk said it and Tesla formed special committees to weigh a merger, a possible $3.5 trillion deal. The committees are groups of independent board members, and Musk is staying out of them because he has a conflict of interest. No terms have been agreed, and Musk said assuming a deal is certain would be overstating it. SpaceX also said quarterly sales more than doubled to $14.58 billion, helped by renting out AI computing power. Tesla shares rose about 3% to $385.
Why it matters
SpaceX and Tesla are worth about $2 trillion and $1.5 trillion, so combining them would create one of the largest companies ever. Musk says the two already work together on AI software, chip design and robotics, and he sees merit in joining forces. A deal would need approval from a majority of all Tesla shares, not just those voted, which Musk called a high hurdle. Talks are early, so share prices may swing on each headline.
