What happened
Lynas Rare Earths (LYC.AX) stock fell 7.1% to A$12.85 on Thursday after agreeing an all-share A$968 million takeover of Meteoric Resources, as investors worried about dilution and heavy development costs. Meteoric shareholders will get 0.0207 new Lynas shares for each share they own, valued at A$0.286 each. That is a 68.4% premium to Meteoric's last close of 17 cents. Meteoric shares jumped about 50%, to roughly 25 cents. The deal adds Meteoric's Caldeira rare earths project in Brazil, lifting Lynas's mineral resources by about 79%.
Why it matters
Lynas Rare Earths is adding a large new supply of rare earths, metals used in magnets for electric cars and wind turbines, from a source outside China. The deal lifts its ore reserves by about 26%. But paying in new shares dilutes current owners, and building the Brazilian mine needs more than $500 million, which helped push Lynas shares down.
