What happened
Gold Fields (GFI) shares fell 13.5% on Monday before the US open after Northern Star's board rejected its A$27-per-share, $27B takeover bid, which Gold Fields is still pursuing. Gold Fields offered 0.3125 shares plus A$7.25 in cash per Northern Star share, a 22% premium when made. Northern Star's board unanimously rejected it on 24 September, partly because about three-quarters of the price was paid in Gold Fields shares. Gold Fields' own share drop cut the offer's value to A$25.19 by 25 September. Northern Star shares rose about 6% on Monday and about 8% on Wednesday as investors bet on a higher bid.
Why it matters
Gold Fields' 13.5% drop shows investors are uneasy about the deal, even though it would create the world's second-largest gold producer, at about 4.1 million ounces a year. Gold Fields estimates the two companies could save US$4–5 billion together. Activist investor Elliott, which owns 6.24% of Northern Star, could push its board toward talks.
