What happened
Penske Automotive (PAG) stock jumped about 8% on Thursday after agreeing to a $16.3B take-private deal, with Penske Corp. and Mitsui paying $212 a share in cash, an 8.8% premium to Wednesday's close. Going private means the shares stop trading publicly; Penske Corp. would own about 64% afterward and Mitsui 36%. The $212 price is 26% above the stock's 90-day average. The deal still needs shareholder and regulatory approval and is expected to close in early 2027.
Why it matters
Penske Automotive is a large U.S. car dealership group, and its outside shareholders are being offered cash to sell their shares. After the deal closes, ordinary investors will no longer be able to buy the stock on the New York Stock Exchange. Rival dealers Group 1, Lithia and Asbury also rose about 6.5% to 6.7% before the market opened, a sign investors may see dealer stocks as worth more.
