What happened
IonQ (IONQ) stock fell 9% to $36.19 on Monday after announcing a $1.3 billion all-stock deal for Elisity, a cybersecurity acquisition investors fear will dilute their shares. IonQ is paying with its own shares instead of cash, and up to $150 million of the price depends on how Elisity performs later. Elisity makes security software that limits which people and devices can reach a company's networks, an approach called Zero Trust. The Wall Street Journal reported the deal first, and it is expected to close in the fourth quarter of 2026.
Why it matters
IonQ, a quantum computing company, is using this deal to expand into selling security software to businesses and governments. Because it pays in shares, IonQ will have more shares outstanding, so each existing shareholder owns a slightly smaller slice (called dilution). The stock fell by more than the deal's price tag, which suggests many investors doubt the purchase will pay off.
