Horizon Space Acquisition I Corp. (HSPWF)

The instrument. HSPWF is a warrant — a call option issued by Horizon Space Acquisition I Corp., exercisable for one share of common stock at $11.50 per share, expiring March 2, 2029. Warrants are equity derivatives: leverage vehicles that give holders the right (but not obligation) to buy underlying shares at a fixed strike price. They trade separately from the common shares and the units that originally bundled them together.

Why warrants exist. SPACs bundle units consisting of one common share, fractional preferred stock, and one warrant; separating them allows different investor profiles to cherry-pick exposure. Share buyers get voting rights and dividend participation; warrant buyers get leverage and call optionality. The warrant issuer (Horizon Space, backed by its sponsors) retains proceeds from the unit sale and an incentive to drive the share price above the strike, making the warrants valuable and in-the-money.

The math. If HSPWF common trades at $15 per share and a warrant holder exercises at $11.50, they pocket $3.50 of intrinsic value per share — the spread between market and strike. Deep out-of-the-money warrants (common shares trading well below the strike) carry mainly time value and expiration risk. As expiration approaches, out-of-the-money warrants decay toward worthlessness.

The SPAC context. Horizon Space was incorporated in 2022 and listed on Nasdaq in December 2022. The company is expected to either complete a business combination or liquidate by June 12, 2027. If the SPAC liquidates without a deal, the trust account is returned to public shareholders pro rata, but warrant holders receive nothing — their claim is extinguished. This binary risk (either the company merges and the warrants gain value, or the trust winds down and the warrants expire worthless) defines warrant valuation in a SPAC: they are bets on deal completion and on the merged entity’s post-close valuation relative to the $11.50 strike.

Historical context. Horizon Space originally pursued a merger with Squirrel Enlivened International Co., Ltd, a marketing and consulting firm based in Shenzhen, China. That agreement was announced in September 2024 and terminated in October 2025 following multiple deadline extensions. The failure to complete that transaction left warrant holders holding call options on an undetermined future target (or on liquidation proceeds, if no deal closes).

Expiration and decay. The March 2, 2029 expiration date is roughly four years away. As that date approaches and no clear acquisition target emerges, warrant value erodes due to time decay and rising probability of liquidation. Warrant holders face a timing pressure that common shareholders do not: shareholders can wait indefinitely for management to announce a deal; warrant owners watch an expiration clock.

Pricing and trading. HSPWF trades on Nasdaq with typically light volume compared to the common shares. Pricing reflects the probability assessment of a successful deal, the estimated valuation of any future target relative to the $11.50 strike, and the remaining time to expiration. Larger SPAC warrant positions sometimes attract sophisticated traders who arbitrage the relationship between the common shares, warrants, and underlying target company.

Comparison to straight equity. A common share at $5 entitles the holder to participate in any liquidation or future deal at fair value; a warrant at the same $5 price entitles the holder to leverage that exposure (buying at $11.50 if exercised, multiplying returns if the deal succeeds) but facing total loss if the warrant expires worthless. Warrants are higher-risk, higher-reward instruments suitable for investors with conviction about deal timing and post-close valuation.

SEC disclosure. The complete terms of the warrant — including the strike price, expiration date, adjustment provisions for splits, and anti-dilution language — are documented in Horizon Space’s prospectus and its amendment filings with the SEC (CIK 0001946021). Warrant holders should consult those documents for the fine print on cash settlement, forced redemption, and other mechanics that vary by SPAC.
